XoProxy Terms of Service

Welcome to XoProxy (the "Service"). These Terms of Service (the "Terms" or this "Agreement") constitute a legally binding agreement between Galaxy Cloud Technology Limited ("XoProxy", "we", "us", or the "Company") and you or the entity you represent (the "Customer", "you", or "your").
By accessing or using XoProxy's website, dashboard, APIs, or any related services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Services.
We may update or modify these Terms from time to time. When changes are made, we will update the "Last updated" date above. Your continued use of the Services after the changes take effect constitutes your acceptance of the updated Terms.
1. Registration and User Accounts
To access and use certain features of the Services, you must complete the registration process and create an account.
By registering for an XoProxy account, you agree and warrant that:
- The information you provide during registration is true, accurate, current, and complete;
- You will promptly update the relevant information to ensure that it remains true, accurate, current, and complete;
- You have reached the age of majority required by the laws of your jurisdiction and have full legal capacity, or you have been duly authorized by the entity you represent to accept this Agreement on its behalf.
You further represent and warrant that you are not:
- In violation of any applicable anti-terrorism, sanctions, or anti-money laundering laws or regulations;
- Conducting transactions with any sanctioned, blocked, or otherwise restricted person or entity;
- Participating in transactions involving blocked or restricted property;
- Attempting to evade or circumvent any anti-terrorism, sanctions, or other regulatory regime;
- Designated as a prohibited or restricted person under applicable laws or regulations.
You are responsible for safeguarding your account credentials, including passwords, API keys, and other login information, and you are fully responsible for all activities conducted through your account. If you become aware of or suspect any unauthorized use of your account or any security breach, you must notify us immediately.
XoProxy is not responsible for any loss or damage resulting from your failure to properly protect your account information.
2. Acceptable Use Policy
By using the Services, you agree that you will not:
- Use the Services in any manner that violates applicable laws, regulations, or third-party rights, including but not limited to intellectual property rights, privacy rights, and personal data protection laws;
- Use the Services for governmental, military, or other high-risk purposes without our prior written consent;
- Upload, transmit, distribute, or otherwise make available viruses, malicious code, Trojan horses, worms, or other destructive or malicious content;
- Interfere with, disrupt, or attempt to disrupt the normal operation of any network, system, or service, including but not limited to making network resources unavailable to their intended users;
- Distribute, promote, or facilitate any unlawful, harmful, defamatory, abusive, harassing, fraudulent, or otherwise objectionable content or activity;
- Use the Services to conduct unauthorized penetration testing, vulnerability scanning, crawling, bulk data collection, stress testing, DDoS attacks, or other unauthorized testing activities;
- Cause damage, degradation, or service interruption to any third-party website, platform, or service, including attempting to bypass its access controls or rate-limiting mechanisms;
- Use the Services in any manner that may harm XoProxy, its infrastructure, reputation, or other customers.
XoProxy reserves the right, in its sole discretion, to determine whether your use of the Services violates this Acceptable Use Policy.
3. Inspection and Suspension of Services
We reserve the right to monitor and log your use of the Services for the following purposes:
- To accurately calculate and collect fees;
- To verify your compliance with these Terms and related policies;
- To detect, prevent, or investigate misuse and network attacks;
- To comply with applicable laws, regulations, court orders, or requests from competent authorities.
Where reasonably necessary, we may share relevant information with competent authorities to fulfill legal obligations, protect our legitimate interests, or respond to formal legal proceedings.
We may immediately limit, suspend, or terminate your access to all or part of the Services, with or without prior notice, if:
- We reasonably believe that your use of the Services poses a security risk to the Services, our infrastructure, other customers, or third parties;
- Your use of the Services may have a material adverse effect on the performance or availability of the Services;
- You violate these Terms, the Acceptable Use Policy, or any other applicable policy;
- You have unpaid fees or have repeatedly or materially delayed payment;
- You provide false, incomplete, or misleading information, or fail to complete identity verification (KYC) or related reviews as requested;
- We reasonably believe that your conduct may expose XoProxy to legal liability or harm our business interests.
Where feasible, we will use commercially reasonable efforts to explain the reason for any suspension or restriction. However, in certain emergencies or where notice is prohibited by law, we may be unable to notify you in advance.
4. User Privacy
XoProxy respects user privacy. Our collection, use, and disclosure of personal data are governed by our Privacy Policy, which forms part of these Terms.
Except in the following circumstances, XoProxy will not intentionally monitor, edit, or disclose your personal information or the content of your use of the Services:
- Where necessary to provide, operate, protect, and improve the Services;
- Where we have obtained your consent or are acting on your instructions;
- Where we have a good-faith belief that such action is reasonably necessary to:
- Comply with applicable laws, regulations, court orders, or governmental requests;
- Protect the rights, property, or safety of XoProxy, our users, or the public;
- Enforce these Terms and investigate potential violations;
- Prevent or address fraud, security incidents, or technical issues.

5. Fees and Payments
XoProxy primarily provides Services through paid subscriptions or usage-based billing. By using the Services, you agree to pay all applicable fees, including but not limited to:
- Package or subscription fees;
- Additional usage-based fees or overage charges;
- Any applicable taxes, duties, or other governmental charges.
We reserve the right to modify prices, billing methods, or plan contents at any time. Fee changes will generally apply to future billing cycles and will be communicated through website announcements, dashboard notifications, or other reasonable means.
By placing an order or completing a purchase, you authorize XoProxy or our third-party payment processors to charge the payment method you provide for the order amount, including all applicable fees and taxes.
Please note:
- Payments may be processed by third-party payment processors, and you may be required to agree to their terms and privacy policies;
- You are responsible for ensuring that your payment information, including billing address and payment method, is true, accurate, and up to date;
- If the proxy allocation or credits you purchased do not appear in your account as expected after successful payment, please contact customer support as soon as possible. We will use reasonable efforts to investigate and resolve the issue.
6. Refund Policy
Except where otherwise required by applicable mandatory law, XoProxy's refund policy is as follows:
1. Refund Rules for Static Residential Proxies
After an order for static residential proxies has been placed, refund eligibility will be determined based on whether the IPs have been extracted, the time elapsed since extraction, and the purchased service period:
- IPs have not yet been extracted: You may request a refund of 70% of the amount actually paid for the order.
- IPs have been extracted, and no more than 24 hours have elapsed since the first successful extraction: You may request a refund of 50% of the amount actually paid for the order.
- More than 24 hours have elapsed since the first successful extraction: Refund or cancellation requests will generally not be accepted.
- Orders with a purchased service period of 2 months or longer: Refunds or cancellations are generally not supported, regardless of whether the IPs have been extracted.
If the proxies do not function in accordance with the product description, you must first contact customer support and cooperate with our technical support team in performing the necessary troubleshooting. If the issue remains unresolved after verification, we will review and process the matter based on the actual circumstances of the order, usage records, and applicable law.
2. Refund Rules for Other Proxy Products
For residential proxy pools, unlimited traffic proxies, dynamic residential proxies, SOCKS5 proxies, and other proxy products, refunds or cancellations are generally not supported once an order has been placed, traffic has been consumed, or the Services have been used.
If an order is completed through a third-party payment provider or sales platform, the refund may also be subject to the rules of the applicable payment provider or platform.
3. Refund Method
Once a refund request has been approved, the refund amount will be credited to your XoProxy account wallet balance as the preferred refund method. The wallet balance may be used for subsequent purchases or renewals of XoProxy products.
If you request a refund to the original payment method, the request will be subject to additional review and may be affected by the payment channel, transaction status, processing fees, and processing time. Payment processing fees, gateway fees, or other non-refundable charges already collected by the payment channel may be deducted from the refund amount.
Once a refund has been credited to your XoProxy wallet, the corresponding wallet balance generally cannot be withdrawn or refunded again to the original payment method.
4. Refund Requests and Review
Refund requests must be submitted within the applicable eligibility period described above. When submitting a request, you may be required to provide the following information:
- XoProxy account information;
- Order number;
- A description of proxy usage and the issue encountered;
- Relevant error screenshots, test results, or other verification materials.
All refund requests are subject to review. XoProxy reserves the right to reject a refund request where proxies have been extensively used, IPs have been configured or bound, order resources have already incurred costs, the refund mechanism has been abused, these Terms have been violated, or false information has been provided.
5. Evaluation Before Purchase
We recommend that you confirm whether the product is suitable for your specific use case before making a large purchase, a long-term purchase, or purchasing a plan with a service period of 2 months or longer.
If you have questions regarding proxy regions, protocol types, usage methods, compatibility, or other features, please contact customer support before purchasing to obtain relevant technical and product information.
XoProxy is committed to providing stable, high-quality proxy services. Proxy resources undergo necessary availability testing before delivery. If you encounter any issues while using the Services, please contact our technical support team at [email protected]. Most connection, configuration, or compatibility issues can be resolved through technical troubleshooting.
This Refund Policy does not affect any statutory rights under applicable consumer protection laws that cannot lawfully be excluded or waived.
7. Intellectual Property Rights
All rights, title, and interest relating to the Services, including but not limited to the website, dashboard, software, APIs, designs, text, graphics, logos, trademarks, trade names, and any related intellectual property rights, are the exclusive property of XoProxy, its affiliates, or its licensors.
Except for the limited rights expressly granted to you under these Terms, no patent, copyright, trademark, trade secret, or other intellectual property right is licensed to you by implication, estoppel, or otherwise.
You agree that you will not:
- Copy, modify, translate, adapt, reverse engineer, decompile, or attempt to obtain the source code of the Services;
- Remove or alter any copyright notice, trademark, or other proprietary designation displayed on or within the Services;
- Use XoProxy's trademarks, logos, or any branding elements associated with the Company without written authorization.
8. Third-Party Applications and Services
The Services may allow you to access or use applications, software, websites, or services provided by third parties (collectively, "Third-Party Services"). Your use of any Third-Party Services is solely between you and the applicable third party and is at your own risk.
XoProxy is not responsible for:
- The content, functionality, availability, or security of Third-Party Services;
- Any damage, loss, or liability arising from your use of Third-Party Services;
- Any agreement, terms, or policies between you and a third party.
Before using any Third-Party Services, you must carefully review and comply with the applicable third party's terms of use and privacy policy.
9. Changes to the Services and Terms
We reserve the right to modify, suspend, or terminate all or part of the Services at any time and may update or revise these Terms at our sole discretion.
Where reasonable, we will provide notice of material changes through appropriate means, such as a website announcement or dashboard notification.
Your continued use of the Services after the effective date of any change constitutes your agreement to be bound by the updated Terms. If you do not agree to the changes, you must stop using the Services and, where appropriate, request closure of your account.
10. Termination
You may stop using the Services at any time and may request closure of your account through the dashboard process or by contacting customer support.
We may, at our sole discretion, limit, suspend, or terminate your access to all or part of the Services at any time under the following circumstances:
- You have actually or allegedly committed a serious violation of these Terms or any other applicable policy;
- You fail to pay fees as agreed or repeatedly make late payments;
- You misuse the Services, including by violating the Acceptable Use Policy;
- Such action is required to comply with laws, regulations, or requests from competent authorities;
- We decide to discontinue or materially modify the Services.
Upon termination:
- Your right to use the Services will terminate immediately;
- We may delete or restrict access to data associated with your account in accordance with our internal data retention policies and applicable law;
- Provisions that by their nature should survive termination, including but not limited to intellectual property rights, disclaimers, limitations of liability, governing law, and dispute resolution provisions, will remain in effect.
11. Warranty Disclaimer
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.
To the fullest extent permitted by law, XoProxy and its affiliates, directors, employees, and agents make no representations or warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to:
- Any implied warranty of merchantability;
- Any implied warranty of fitness for a particular purpose;
- Any warranty of non-infringement of third-party rights;
- Any warranty of title or quiet enjoyment.
Without limiting the generality of the foregoing, we do not warrant that:
- The Services will be uninterrupted, timely, secure, or error-free;
- Results obtained through the Services will necessarily be accurate, reliable, or suitable for your particular expectations or purposes;
- All errors, defects, or vulnerabilities will be corrected.
You understand and agree that you assume all risks arising from your use of the Services, including any damage to your systems or loss of data.
12. Limitation of Liability
To the fullest extent permitted by applicable law, XoProxy and its affiliates, directors, employees, or agents will not be liable for any matter arising out of or relating to these Terms or your use of, or inability to use, the Services, including:
- Any indirect, incidental, special, punitive, or consequential damages;
- Any loss of profits, revenue, goodwill, business, or data;
- Any business interruption or cost of obtaining substitute services.
In all circumstances, XoProxy's total aggregate liability for any individual claim or series of related claims will not exceed the greater of the amount you actually paid to XoProxy for the relevant Services during the three (3) months preceding the event giving rise to the claim, or one hundred United States dollars (USD $100).
Some jurisdictions do not permit the exclusion or limitation of certain damages or liabilities, and therefore some of the limitations above may not fully apply to you. In such cases, XoProxy's liability will be limited to the fullest extent permitted by applicable law.
13. Governing Law and Dispute Resolution
These Terms and any dispute arising out of or relating to these Terms or the Services will be governed by the laws of the Hong Kong Special Administrative Region, without regard to its conflict-of-law principles.
If any provision of these Terms is held invalid or unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.
Our failure to exercise or enforce any right or provision under these Terms will not constitute a waiver of that right or provision.
These Terms constitute the entire agreement between you and XoProxy concerning your use of the Services and supersede any prior or contemporaneous written or oral agreement, communication, or understanding.
